RTM Rules & Ordinances Committee Special Meeting Minutes for 6-29-09

The meeting was called to order at 6:35. Present: Reps. Sterling, Sullivan, Lambert, Docknevich, Black. Absent: Rep. Bodner. Also present: Finance Director Jim Finch, Attorney Joe Fasi, Rep. Thayer.
The committee met and heard the following item:
1) To consider, and if appropriate, take action on issues dealing with Other Post Employment Benefits (OPEB).
Motion to approve ordinance presented with the deletion of the word “Agreement” from subparagraph (a) by Rep. Black; seconded by Rep. Sullivan. All in favor (5-0).
Discussion concerning the Trust Agreement which was presented by counsel to the committee along with the proposed ordinance. The ordinance and the Trust Agreement are inconsistent, in that the Trust Agreement provides that Trustees will be compensated and the ordinance provides that Trustees will be members of the Board of Finance and will not be compensated. Discussion of amendments to Trust Agreement which would render it consistent with the ordinance. Further discussion concerning whether the ordinance must have with it a particular Trust Agreement and must specifically reference that Trust Agreement or not. Revision of subparagraph (a) to clarify that a particular Trust Agreement is not being referenced.
Counsel will submit a revised ordinance to the Finance Director, who will forward it to Marianne Kelly and the committee for distribution to the full RTM.
